Welcome to BreakFin! These Terms of Service (“Terms” or “Agreement”) govern your use of our website and mobile application (collectively, the “Service”). By accessing or using BreakFin, you agree to these Terms.

1. Acceptance of Terms

• You are 18 years or older and capable of forming a binding contract;
• You are not barred from receiving the Service under applicable laws.

2. Changes to Terms

We may update these Terms at any time. Continued use of BreakFin signifies acceptance of the updated Terms. We'll notify you of material changes via email or in-app notification.

3. Privacy

Your privacy is governed by our Privacy Policy, incorporated herein by reference. By using BreakFin, you agree to our data handling in accordance with that policy.

4. Accounts & Registration

• You must provide accurate contact details during registration.
• You’re responsible for keeping your credentials secure and maintaining confidentiality.
• You agree to notify us of any unauthorized use immediately.

5. Acceptable Use

• Use the Service for illegal, fraudulent, or harmful activities;
• Interfere with or disrupt the Service or others’ use;
• Attempt unauthorized access or data scraping;
• Share content that infringes intellectual property or is unlawful.

6. Term & Termination

• This Agreement is effective until cancelled by you or terminated by us.
• You can cancel via account settings; we may suspend/terminate upon your breach or for any other reason.
• Upon termination, you lose access, but certain provisions (e.g., liability, IP, dispute resolution) will survive.

7. Subscription & Payment

• BreakFin is a paid subscription service. Fees are billed monthly or annually based on your plan.
• You authorize recurring charges until canceled.
• We reserve the right to modify fees; notice will be provided before changes take effect.

8. Intellectual Property

• All BreakFin content—branding, software, design, logos—remains our exclusive property.
• You may only use it with our consent and solely to access the Service.

9. Feedback

If you provide feedback or suggestions, you grant us a worldwide, royalty-free license to use, adapt, and commercialize it without restriction.

10. Disclaimers

• The Service is provided “as is” and “as available.”
• BreakFin makes no warranties—whether express or implied—regarding suitability, accuracy, reliability, or uninterrupted access.

11. Limitation of Liability

• To the fullest extent allowed by law, BreakFin is not liable for (direct, indirect, incidental, or consequential) damages from your use or inability to use the Service.
• Our total liability is limited to fees you've paid in the 12 months preceding a claim.

12. Indemnification

You agree to indemnify and hold harmless BreakFin and its affiliates from any claims, liabilities, losses, or damages arising from your violation of these Terms or misuse of the Service.

13. Third-Party Links and Services

BreakFin may contain links to third-party services. We aren’t responsible for their content, practices, or policies. Use them at your own risk.

14. Governing Law & Dispute Resolution

• These Terms are governed by the laws of the United States, without regard to conflict of law rules.
• Any disputes shall be resolved through binding arbitration in Denver, Colorado, or small claims court if applicable.

15. General Provisions

• If any part of these Terms is found unenforceable, the remaining provisions remain in effect.
• BreakFin’s failure to enforce any right is not a waiver of that right.
• You may not assign this Agreement without our written consent; we may transfer it freely.
